These Terms & Conditions apply to all offers, orders, deliveries, and services provided by Sarsorti B.V. to business customers. By placing an order or doing business with us, you agree to these terms.

2. Orders & Proforma Invoices

• Once an order is placed and a proforma invoice is issued, the order is legally binding. The buyer is obligated to fulfill the payment terms as agreed.

• If a deposit is required, it must be paid within the term specified on the invoice (within 3 working days).

• Failure to pay the deposit does not cancel the order. In case of cancellation or default, Sarsorti B.V. reserves the right to charge cancellation fees and/or claim damages, including:

  • Reservation or supplier penalty costs

  • Bonded warehouse or handling fees

  • Harm to our commercial relationships, including damage to relations with key suppliers

• Non-payment or repeat cancellations may result in the buyer being blacklisted from future business.

3. Cancellation Policy

a) By the Buyer

• Cancellations after proforma issuance are not free of charge. If stock has been reserved or supplier commitments made, cancellation fees will apply, especially in bonded warehouse situations (minimum €150 or actual fees charged).

b) By Sarsorti B.V.

• We reserve the right to cancel orders due to supplier failure, regulatory issues, or force majeure. Prepaid amounts will be refunded unless already used for committed costs.

4. Payment Terms

• Unless otherwise agreed, full payment must be made before delivery, either via escrow or bank transfer.

• All invoices must be paid within the due date stated. Late payments incur:

  • 1.5% interest per month

  • €50 administrative costs per reminder

• Payment delays may affect future pricing, availability, or priority.

5. Bank Transfer Disclaimer

• International bank transfers may take 3–5 working days.

• Sarsorti B.V. is not liable for bank delays or intermediary bank hold-ups.

• Orders are not processed until payment is visible on our account.

• We recommend buyers provide proof of payment to prevent delays.

6. Delivery & Risk

• Delivery is based on the Incoterm stated on the proforma invoice or order confirmation (e.g., FCA, EXW, DAP).

• Risk transfers to the buyer as per the agreed Incoterm.

• Delivery times are indicative; delays by transporters, customs, or warehouses do not entitle the buyer to cancel or claim damages.

7. Incoterm Changes

Sarsorti B.V. is not liable for any changes to Incoterms if these changes are made by third parties such as suppliers, bonded warehouses, or logistics partners beyond our control. In such cases:

• We will inform the buyer promptly

• Any additional costs or consequences are borne by the buyer unless otherwise agreed

8. Returns & Complaints

• Claims must be submitted in writing within 48 hours of delivery, with supporting photos and documentation.

• Returns are only accepted after written approval.

• No claims are accepted for product characteristics not confirmed in writing before order (e.g. label version, tax markings, language).

9. Liability

• Our liability is limited to the value of the goods in question on the invoice.

• We are not liable for indirect or consequential loss, including loss of profit, market opportunity, or goodwill.

• All claims must be made within 14 days of discovery.

10. Force Majeure

We are not responsible for any failure or delay due to causes beyond our control, including but not limited to:

• War or embargo

• Strikes or transport disruptions

• Customs delays

• Supplier default

• Natural disasters or pandemics

11. Intellectual Property

All materials, trademarks, and branding provided by Sarsorti B.V. remain our property and may not be used or reproduced without written permission.

12. Governing Law & Jurisdiction

These Terms are governed by Dutch law.
Disputes shall be submitted to the competent court in Rotterdam, the Netherlands.
